SPONSORS AGREEMENT TERMS AND CONDITIONS
|
This Sponsors Agreement ("the Agreement") sets out the agreement between you and Bizwise ("Bizwise" "we" or "us") governing your access to and use of the website located at www.bizwise.co.uk ("the Website"). Among other things, this Agreement describes your responsibilities and limits our liability. Please read it carefully before submitting a registration form.
By completing a registration form you are accepting and will be bound by these terms and conditions.
We may amend this Agreement at any time by posting the amended terms on the Website and we will inform you when they change.

REGISTRATION
To become a Sponsor, you must submit a registration form, which you can access by clicking on "Register" after clicking on "I accept" below. By submitting the registration form you are representing that the information on the form regarding you is true, accurate and up to date, and that you have the authority to submit such registration form. You agree to inform us, via e-mail, of any changes in the information set out in the registration form. We may refuse, in our sole discretion, to register you for any reason. You acknowledge that the services offered on the Website are offered to businesses in the United Kingdom only. Any Posting (as defined below) made by you must be in accordance with English Law unless you expressly and clearly state otherwise in your Postings.

LICENCE
|
| 2.1 |
You are granted a non-exclusive, non-transferrable, limited licence to access and use the Website in accordance with this Agreement
|
| 2.2 |
All right, title, and interest (including all copyrights and other intellectual property rights) in the Website and its contents (in both print and machine-readable forms) belong to Bizwise save in respect of original works contained in Postings (as defined below) by other third parties where so acknowledged. You acquire no proprietary interest in the Website.

| 2.3 |
You and other third parties with access to the Website may use the Website to distribute, display, or transmit, via electronic mail, or otherwise, information, materials or other works of authorship to users of the Website ("Postings"). You will ensure that all Postings made, distributed, displayed, transmitted or published by you comply with all requirements established and published by us herein and elsewhere on the Website, as well as with all applicable laws, rules and regulations. You warrant and undertake to Bizwise that postings do not infringe or otherwise violate our rights or the rights of any third parties, including but not limited to intellectual property and other ownership rights (including copyrights and trademarks), privacy rights, and publicity rights. All Postings must be appropriate to the Website, in good taste and shall not contain any profanity, vulgarity, obscenity, pornography or other content that may be reasonably considered offensive

We are allowing Postings to facilitate the exchange of information between you and other businesses. We do not hold ourselves out as a publisher with respect to Postings by you or any other third parties. We do not read and/or otherwise screen Postings for content or compliance with this Agreement. We reserve the right to utilise screening software and to block or remove any Postings that we are made aware of via this screening software, complaint, or otherwise and that we believe, in our sole discretion, to violate the terms, conditions, or spirit of this Agreement

Except with respect to products or services expressly designated as otherwise, the Internet, and the Website as an Internet-based service, is an open environment and therefore insecure (i.e. third parties may be able to read your mail or otherwise monitor your actions). You will refrain from including in any Postings or otherwise disclosing on or in connection with your use of the Website any confidential information, except in connection with use of products or services expressly designated as "secure". You understand and accept that use of the Website is entirely at your own risk

By making Postings on the Website you grant to us an irrevocable, unconditional, royalty-free, fully paid-up world-wide licence to use, distribute, sub-licence, lease and market (directly or indirectly through agents and distributors), display, perform, modify and have modified, reproduce, copy and have copied, publish and prepare derivative works thereof in any form and format and in any media in existence or hereinafter developed, the Postings and any and all information contained therein.

You may provide hot links to the Website from locations outside the Website provided:
| (a) |
you link only to the home page www.bizwise.co.uk,
|
| (b) |
you do not remove or obscure, by framing or otherwise, advertisements, the copyright notice or other notices in the Website
|
| (c) |
you give us notice of such link by sending an e-mail message to info@bizwise.co.uk and
|
| (d) |
you discontinue providing hot links to the Website if notified by us
|
| 3 |
FEES AND PAYMENTS
|
| 3.1 |
Registering with us is subject to a subscription to the Sponsorship package as agreed between us. Until such time that Bizwise has received payment from You for Sponsorship, any documents posted to the Website by you will be held in an off-line database. We will credit your account with a fee for documents downloaded by users at a rate to be agreed and send payment by cheque to you at the address given in your registration on a quarterly basis. Unless otherwise stated, all fees are quoted in Pounds Sterling. For the avoidance of doubt you acknowledge that any contract is between you and the user notwithstanding that we may collect such fees on your behalf.

INDEMNITY

| 4.1 |
You agree to pay, indemnify, and hold us (and our directors, officers, employees and agents) harmless from and against any and all liabilities, obligations, losses, damages, penalties, actions, judgments, suits, costs, expenses or disbursements of any kind or nature whatsoever with respect to
|
| 4.1.1 |
any third party claim, action or allegation of defamation or infringement, misappropriation or violation of copyright or other proprietary rights, of confidence, or of privacy rights or any third party or based on any content submitted by you;
|
| 4.1.2 |
any breach of this Agreement by you, or
|
| 4.1.3 |
any third party claim, action or allegation brought against us arising out of or relating to any Postings by you howsoever arising
|
| 4.2 |
We reserve the right to provide your contact details to users
|
| 5 |
TERMINATION
|
| 5.1 |
Bizwise may suspend or terminate this Agreement without notice if:
|
| 5.1.1 |
any fees, charges or other payments due under this Agreement are unpaid for more than 14 days after becoming due
|
| 5.1.2 |
you commit a breach or default of any of the terms or conditions of this Agreement and fail to remedy it promptly in receiving notice thereof
|
| 5.1.3 |
you enter into any arrangement or composition with your creditors or become bankrupt or being a company if a receiver or administrator is appointed or you go into liquidation
|
| 5.2 |
Expiry or termination shall be without prejudice to the accrued rights and obligations of the parties
|
| 6 |
LIMITATION OF LIABILITY
|
| 6.1 |
Except in relation to personal injury or death due to our negligence, a Covered Party (as defined below) shall not be liable for any loss, injury, claim, liability, or damage of any kind resulting from, arising out of or any way related to:
|
| 6.1.1 |
any errors in or omissions from the Website, including but not limited to any Postings
|
| 6.1.2 |
any third party websites or content therein directly or indirectly accessed through hot links in the Website, including but not limited to any errors in or omissions therefrom
|
| 6.1.3 |
the unavailability to interruption of the Website or any portion thereof
|
| 6.1.4 |
your use of the Website (regardless of whether you received any assistance from a Covered Party in using the Website)
|
| 6.1.5 |
your use of any equipment or software in connection with the Website
|
| 6.1.6 |
the content of the Website, including but not limited to any Postings
|
| 6.1.7 |
blocking, removal or the failure to block or remove Postings, or
|
| 6.1.8 |
any delay or failure in performance
|
| 6.2 |
"Covered Party" means Bizwise Limited, its affiliates, and any officer, director, employee, sub-contractor, agent, successor, or assign of Bizwise Limited or its affiliates
|
| 6.3 |
Except in relation to personal injury or death due to our negligence, the aggregate liability of a Covered Party in connection with any other claim arising out of or relating to the Website shall not exceed the lessor of:
(i) the amount paid by you to us over the past twelve months, or
(ii) £200.
Your right to monetary damages in that amount shall be in lieu of all other remedied that you may have against any covered party

The Covered Parties shall not be liable for any special, indirect, incidental, or consequential damages of any kind whatsoever including, without limitation, legal fees, lost profits or lost savings in any way due to, resulting from, or arising in connection with the Website, including but not limited to, Postings, or the failure of any Covered Party to perform its obligations, regardless of any negligence of any Covered Party

NO AGENCY OR PARTNERSHIP
The parties are independent contractors and no agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship is intended or created by this Agreement
|

NOTICES
Any notice shall be given by e-mail, if to you, to the e-mail address provided on the registration form or such other address provided by you to us and, if to us, to customerservice@bizwise.co.uk Notice shall be deemed given 8 hours after the sending of the e-mail (unless the sender receives a response indicating that the message was undeliverable).

FORCE MAJEURE
We shall not be liable for any failure to perform our obligations under this Agreement if such failure results from any act of God or other cause beyond our reasonable control (including, without limitation, any mechanical, electronic or communications failure)

| 10 |
MISCELLANEOUS
|
| 10.1 |
Any failure by us to enforce any provision hereof shall not constitute or be construed as a waiver of such provision or of the right to enforce it at a later time
|
| 10.2 |
This Agreement is personal to you and may not be assigned
|
| 10.3 |
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof. All prior agreements, undertakings, negotiations or representations, whether oral or in writing, relating to the subject matter hereof are superseded and cancelled in their entirety
|
| 10.4 |
If any provision hereof is adjudged to be invalid, void or unenforceable, the parties agree that the remaining provisions hereof will not be affected thereby, that the provision in question may be replaced by the lawful provision that most nearly embodies the original intention of the parties, and this Agreement will in any event remain valid and enforceable

| 10.5 |
Governing Law and Jurisdiction
This Agreement shall be governed by the laws of England and the parties submit to the exclusive jurisdiction of the Courts of England
|
